Terms & Conditions of Service
Version v1 · Applies to every purchase order issued by PlotzAI LLP.
1. Scope of Work
- Services will be delivered strictly as described in this Purchase Order.
- Any requirement not listed in this Purchase Order is treated as a new scope and will be quoted separately.
- Changes requested after work has commenced may affect timelines and cost.
2. Payment Terms
- 100% advance payment is required before the commencement of work.
- Work begins only after the payment is realised in the PlotzAI LLP account.
- All applicable taxes are charged as per prevailing Government of India rates.
- Third-party costs (ad spends, domains, hosting, licences, plugins, stock media) are billed separately and are not part of the service fee.
3. Refund & Cancellation
- All payments are non-refundable once work has commenced.
- Cancellation by the client does not entitle the client to any refund of amounts already paid.
- Unused ad budget held by the platform is subject to the respective platform's policy and is not refundable by PlotzAI LLP.
4. Client Responsibilities
- The client must provide content, credentials, approvals and required inputs in a timely manner.
- Delays caused by pending client inputs or approvals extend the delivery timeline correspondingly.
- The client confirms that all material shared with PlotzAI LLP is lawful and owned or licensed by the client.
5. Timelines
- Delivery timelines are indicative and begin from the date of receipt of payment and all required inputs.
- PlotzAI LLP is not liable for delays caused by third parties, platform approvals or force majeure events.
6. Deliverables, Revisions & Approval
- Reasonable revisions are included within the agreed scope; extensive redesign or re-scoping is chargeable.
- Deliverables are deemed accepted if no written feedback is received within 7 days of submission.
7. Performance Disclaimer
- Marketing, advertising, SEO and analytics results depend on market conditions and platform algorithms.
- PlotzAI LLP does not guarantee specific rankings, leads, sales or revenue outcomes.
8. Intellectual Property
- Ownership of final approved deliverables transfers to the client upon receipt of full payment.
- PlotzAI LLP retains ownership of its internal tools, frameworks, source libraries and reusable components.
- PlotzAI LLP may showcase the work in its portfolio unless the client objects in writing.
9. Confidentiality
- Both parties will keep commercial and technical information shared under this engagement confidential.
- Confidentiality obligations survive the completion or termination of this engagement.
10. Limitation of Liability
- The total liability of PlotzAI LLP is limited to the amount actually paid by the client under this Purchase Order.
- PlotzAI LLP is not liable for indirect, incidental or consequential loss, including loss of profit or data.
11. Support & Maintenance
- Post-delivery support, if applicable, is limited to the period stated in this Purchase Order.
- Support beyond that period, or outside the agreed scope, is chargeable under a separate agreement.
12. Termination
- Either party may terminate this engagement in writing for material breach that remains uncured for 15 days.
- On termination, the client pays for all work completed up to the date of termination; advance amounts remain non-refundable.
13. Governing Law & Jurisdiction
- This engagement is governed by the laws of India.
- Courts at Pune, Maharashtra have exclusive jurisdiction over any dispute arising out of this Purchase Order.
14. Acceptance
- Digital acceptance of this Purchase Order by the client constitutes a binding agreement to these Terms & Conditions.
- Payment against this Purchase Order also constitutes acceptance of these Terms & Conditions.
